Terms of Use

1. Acceptance of Terms
By accessing or using GovNexis ("the Platform"), you agree to be bound by these Terms of Use ("Terms"). If you are accessing the Platform on behalf of a government agency, municipality, or other organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Platform.
2. Description of Service
GovNexis is a broadcast management platform designed for government agencies and public entities to record, livestream, archive, and track public meetings. Features include client management, package allotment tracking, event scheduling, recurring broadcast management, team collaboration, and usage reporting. GovNexis reserves the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.
3. Eligibility
The Platform is intended for use by government agencies, municipalities, public utilities, school boards, and other public sector entities, as well as the broadcast technology vendors who serve them. You must be at least 18 years of age and authorized to act on behalf of your organization to register an account and use the Platform.
4. Account Registration & Organizations
Access to the Platform is provided through organization accounts. Organizations are scoped by email domain, and team invitations are restricted to users with a matching domain. You are responsible for maintaining the confidentiality and security of your login credentials. You are also responsible for all activity that occurs under your account and your organization's account. You agree to notify GovNexis immediately at info@govnexis.com if you suspect any unauthorized use of your account.
5. Acceptable Use
You agree to use the Platform only for lawful purposes consistent with its intended use for government broadcasting management. You agree not to: attempt to access data belonging to other organizations; reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform; use the Platform to transmit unlawful, harmful, or fraudulent content; interfere with or disrupt the integrity or performance of the Platform or its infrastructure; or use the Platform for any purpose unrelated to legitimate government broadcasting operations.
6. Data & Content
You retain ownership of all data, records, and content you upload or generate through the Platform, including meeting schedules, client records, and broadcast logs. By using the Platform, you grant GovNexis a limited, non-exclusive license to store and process that data solely for the purpose of operating and improving the service. GovNexis does not sell your data to third parties. Data handling is subject to our Privacy Policy, which is incorporated by reference into these Terms.
7. Billing & Subscriptions
Pricing is based on active clients and package allotments as established at account setup. Overages are calculated in accordance with your organization's contract terms. GovNexis reserves the right to update pricing with 30 days' written notice to account owners. Failure to maintain current billing information may result in service suspension.
8. Intellectual Property
GovNexis and all associated software, branding, logos, interface design, and documentation are the intellectual property of GovNexis LLC, a Texas limited liability company. You may not copy, reproduce, redistribute, or create derivative works from any part of the Platform without prior written consent from GovNexis.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GovNexis does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities. You use the Platform at your own risk.
10. Limitation of Liability
To the fullest extent permitted by applicable law, GovNexis, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if GovNexis has been advised of the possibility of such damages. GovNexis's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amounts paid by you to GovNexis in the three months preceding the claim.
11. Termination
GovNexis reserves the right to suspend or terminate your access to the Platform at any time for violation of these Terms, non-payment, or for any other reason at its sole discretion, with or without notice. You may cancel your account at any time by contacting us at info@govnexis.com. Upon termination, your right to access the Platform ceases immediately.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under or relating to these Terms shall be resolved in the appropriate state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
13. Changes to These Terms
GovNexis may update these Terms periodically. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We will notify account owners of material changes by email at least 14 days before they take effect.
